Samudera is committed to upholding a high standard of corporate governance. We take steps to ensure that our businesses are conducted with integrity, professionalism, and fairness and in compliance with applicable laws and regulations.

 

Employees and external parties such as customers, vendors, banks, and other stakeholders are encouraged to report any wrongdoing, unethical or inappropriate action, and/or behaviour of any member within the Group or business practices in the Group.

 

All reports are treated with strict confidentiality and will be directed to and accessed only by the Head of Internal Audit and the Chairman of Audit Committee (AC) for review, investigation, and follow-up.

 

Scope of Reporting 

 

Reportable matters include but are not limited to the following:

  • Theft and fraud
  • Health and safety issues
  • Bullying, harassment & discrimination
  • Misconduct and malpractice
  • Breach of laws, regulations, policies, and procedures
  • Abuse of power or authority 
  • Undisclosed conflicts of interest 
  • Improprieties relating to accounting, auditing internal controls, or operational matters

Human resource matters should be raised through existing internal channels.

 

Reporting Channels and Procedures

 

Employees and external parties may lodge a report through any of the following channels:

Reports should provide the following information, where possible:

  • Identity and particulars of the parties and witnesses involved 
  • Date, time, and location of incident/incidents
  • Evidence substantiating the concern raised
  • Money or assets involved
  • Number of incidents

 

Confidentiality and Non-Retaliation

 

Samudera shall ensure strict confidentiality of all whistle-blowers and reports received and the anonymity of person/persons making the report to the extent of the legal framework.

 

Samudera shall not retaliate nor tolerate any retaliation by the Management or any other persons or groups directly or indirectly to the person/persons making a report.

 

Samudera shall provide assistance/cooperation to the AC, any governmental, regulatory, or law enforcement authority, whenever required, in the investigation of the reported incident.
